The subject of this book is the involvement and rights of employees in transfers of undertakings as a likely consequence of various corporate restructuring events, such as mergers, acquisitions, divestitures, spin-offs or outsourcing. Its purpose is to analyse, compare and evaluate the involvement and rights of employees during these events in different jurisdictions and, if relevant, make recommendations. We have chosen the jurisdictions of three developed market economies with a long reputation for relatively light labour market regulation: one EU country (the UK), a non-EU European country (Switzerland) and the United States. In addition, the work also covers the relevant EU labour standards. The analysis for each country focuses on five elements in particular: transfer of employees, transfer of their acquired rights, resignation and dismissal, involvement of employees, and the transfer of insolvent businesses.
